Shuttle Pharmaceuticals has signed a definitive letter of intent to acquire Molecule.ai for $10 million in cash and stock, with milestone-contingent consideration. Molecule.ai specializes in an advanced Agentic AI Mode, a platform designed to automate drug-target interaction simulations, property prediction, and molecular reasoning to shorten early discovery and preclinical development timelines.
The acquisition is intended to integrate Molecule.ai’s artificial intelligence platform into Shuttle’s oncology research programs, specifically for the acceleration of radiation sensitizer discovery. By creating what it describes as a “self-learning discovery engine,” Shuttle expects to reduce the time needed to identify promising drug candidates by several months while broadening its computational R&D capabilities. The system’s modular design may also support future licensing opportunities across multiple therapeutic categories.
Shuttle believes the deal will serve as a major step toward establishing itself as the first “self-learning biotech,” integrating automated reasoning directly into ongoing discovery workflows. Industry observers note that the transaction structure could lead to modest shareholder dilution depending on the mix of cash and equity used to fund the deal. Company officials emphasized that execution milestones remain to be defined before the transaction closes.
If successful, this acquisition positions Shuttle within the fast-growing biotech AI sector, where integrated learning systems are increasingly viewed as key enablers of next-generation drug development.
