Thermo Fisher Scientific to Acquire Clario Holdings in $8.9B Deal to Advance Clinical Insights and Digital Innovation

Thermo Fisher Scientific announced its agreement to acquire Clario Holdings Inc., a global provider of clinical trial endpoint data solutions, for $8.9 billion in cash plus up to $525 million in future performance-based payments. The deal, expected to close by mid-2026 following regulatory approvals, will integrate Clario’s advanced data capabilities into Thermo Fisher’s Laboratory Products and Biopharma Services segment, strengthening its position in clinical development technology and data intelligence solutions.

Clario’s platform collects and analyzes clinical endpoint data from sites, devices, and patients, supporting pharmaceutical and biotech companies through every phase of drug development. Its suite of technologies—including electronic clinical outcome assessments (eCOA), medical imaging, wearable data capture, cardiac and respiratory assessments—has supported approximately 70% of FDA drug approvals over the past decade. Clario is forecast to generate $1.25 billion in revenue for 2025, with roughly 4,000 employees operating globally.

Executives from both companies cited the acquisition’s strategic fit, poised to accelerate drug development, deliver deeper clinical insights, and further the digital transformation of clinical research. Marc N. Casper, Thermo Fisher’s CEO, noted the addition would enhance data-driven decision making, improve trial efficiency, and ultimately benefit patients. Clario CEO Chris Fikry highlighted how Thermo Fisher’s scale and global pharmaceutical relationships will power future platform expansion.

Thermo Fisher will fund the acquisition via debt financing and cash on hand. The transaction is anticipated to be accretive to Thermo Fisher’s adjusted operating margins and generate $175 million in adjusted operating income within five years of closing.
