Simulations Plus, a provider of model-informed and AI-accelerated drug development that advances biopharma innovation, announced that it has entered into a definitive agreement to be acquired by affiliates of Altaris, an investment firm with an exclusive focus on acquiring and building companies in the healthcare industry, in an all-cash transaction. At or about the closing of the transaction, Altaris anticipates the Company will be combined with Chemical Computing Group (“CCG”), an existing Altaris portfolio company that provides advanced molecular design software to customers across the pharmaceutical, chemical and materials sectors.
Under the terms of the agreement, Simulations Plus common stockholders will receive $18.50 per share, representing a premium of 26% to Simulations Plus’ 60-day volume-weighted average price as of June 15, 2026.
