AlzeCure Pharma has entered into an out-licensing and collaboration agreement with Danish biotech QuantumCell ApS covering global rights to its NeuroRestore Alzheimer’s platform, including lead drug candidate ACD856, in a transaction with a total deal value exceeding $2.2B (excluding royalties). Under the agreement, AlzeCure will receive an upfront payment of $12M, of which USD 5 million will be a direct equity investment in the company at a 30% premium to the recent average share price of SEK 3.78 over the last 10 trading days. The deal also includes set development and commercial milestone payments and tiered single‑digit to low double‑digit royalties on future sales.
NeuroRestore ACD856 is described as a small‑molecule positive modulator of NGF/TrkA and BDNF/TrkB signaling (a Trk‑PAM), designed to enhance communication between neurons and improve cognitive functions such as learning and memory. The candidate, already in clinical development, has shown neuroprotective, anti‑inflammatory and disease‑modifying effects in several preclinical models. Its mechanism of action supports potential use across multiple indications, including Alzheimer’s disease, Parkinson’s disease and depression.
AlzeCure said the agreement reflects its ability to develop first‑in‑class Trk‑PAM projects from concept to clinical stage and offers a path for the NeuroRestore assets to reach several patient groups earlier through QuantumCell’s pharmaceutical development capabilities. QuantumCell, described as a tech‑enabled biotech focused on drug development, will take over global development responsibilities under the licensed rights.
The transaction remains subject to customary closing conditions, including approvals from Swedish and Danish authorities under foreign direct investment regulations.
