Alfasigma has agreed to acquire Nordic Group B.V., known as Nordic Pharma, in a transaction designed to expand its specialty-care portfolio, strengthen its European commercial reach and add platforms in Canada and Japan.
The global pharmaceutical company entered a share purchase agreement with SEVER Life Sciences B.V. to purchase all shares of Nordic Group and its subsidiaries. Financial terms were not disclosed. The transaction remains subject to customary closing conditions, including required regulatory clearances.
The acquisition will add Nordic Pharma’s rheumatoid arthritis business, led by the Nordimet methotrexate franchise, to Alfasigma’s rheumatology portfolio, which already includes the Jyseleca franchise. The deal also includes Nordic Pharma products in women’s health, critical care and ophthalmology.
Alfasigma said the transaction will provide direct operations in 18 European countries while adding commercial platforms in Canada and Japan. Approximately 265 Nordic Pharma employees with specialist capabilities and expertise are expected to join Alfasigma as part of the acquisition.
The company said the deal supports an acquisition-led strategy to build its international specialty and rare-disease business, with particular focus on gastroenterology and immunology. It follows other portfolio initiatives, including Alfasigma’s acquisition of Jyseleca in inflammatory diseases and its licensing agreement with GSK for linerixibat, a prospective treatment for cholestatic pruritus associated with primary biliary cholangitis in adults.
Chief Executive Officer Francesco Balestrieri said the acquisition represents a significant step in Alfasigma’s plans to develop its global specialty and rare-disease business. He said the combination of portfolios, scientific expertise and employees would strengthen the company’s ability to deliver innovation and value for patients and shareholders.
Nordic Group Chief Executive Officer Charlotte Phelps said Alfasigma is the right partner for the company’s next stage of growth. She said the businesses share a patient-focused, science-based and entrepreneurial approach and will combine experience to support patients.
Nordic Pharma has direct operations in Europe, Canada and Japan and a portfolio of specialty pharmaceutical products. Alfasigma said the acquisition broadens both its therapeutic capabilities and geographic presence as it pursues further growth in international markets.
