Agilent to Buy Proscia for Up to $270 Million

Agilent Technologies has agreed to acquire digital pathology software company Proscia for $240 million in cash at closing, with up to $30 million in additional payments tied to future performance milestones.

The transaction is expected to close early in Agilent’s fiscal 2027, subject to customary closing conditions. Proscia will join Agilent’s Life Sciences and Diagnostics Markets Group.

Proscia provides software that connects slide scanners, laboratory information systems, image analysis applications and artificial intelligence tools. Its platform allows clinical and life sciences customers to manage pathology images, data and workflows within a single system.

The company serves more than 4,000 laboratories, hospitals and clinics, along with 16 of the 20 largest pharmaceutical companies, according to the announcement. Its revenue exceeded $18 million over the preceding 12 months.

The acquisition builds on a multiyear distribution agreement the companies signed in September 2022 to offer a digital diagnostic pathology system. It also follows Agilent’s acquisition of Biocare Medical.

Agilent said the purchase would combine Proscia’s software with its pathology instruments and reagents, expanding its capabilities in tissue analysis, drug discovery and companion diagnostics. Proscia’s platform has FDA 510(k) clearance for primary diagnosis.

Agilent Chief Executive Padraig McDonnell said the combination would connect pathology data generation with AI-based interpretation across research and clinical applications. Proscia co-founder and Chief Executive David West said the agreement would support continued development of digital pathology tools.
