Hansoh, Roche Sign ADC Deal Worth Potentially Over $15.5 Billion

Hansoh Pharmaceutical has signed a collaboration and licensing agreement with Roche covering a portfolio of antibody-drug conjugate cancer treatments, with payments potentially exceeding $15.5 billion, excluding royalties.

The agreement includes $400 million upfront and a $110 million payment on the first anniversary. Hansoh could also receive more than $15 billion in milestones tied to development, regulatory approvals and commercialization, plus tiered royalties on future sales.

Announced Oct. 19, the deal is the companies’ second collaboration in antibody-drug conjugates, or ADCs, following a partnership announced last year.

The portfolio comprises two preclinical Hansoh programs and multiple additional programs directed at targets proposed by Roche. Those additional programs will use Hansoh’s ADC technology platform.

Hansoh will lead early development through completion of global Phase Ia clinical trials. Roche will then oversee further development worldwide, excluding mainland China, Hong Kong, Macau and Taiwan.

Hansoh will retain development, registration and commercialization rights in those four markets.

The agreement also gives Hansoh the option to select up to two programs and contribute to their development outside its retained territories. In exchange, Hansoh could receive additional financial benefits from commercialization of those programs in the United States.

The announcement did not identify the drug candidates, Roche-proposed targets or specific cancer indications. It also did not provide development timelines or detail the individual milestone payments.

Hansoh Executive Director Eliza Sun said the agreement expands the companies’ existing ADC relationship. Roche’s head of corporate business development, Boris Zaïtra, described the deal as an expansion of its work with Hansoh.
