Ferring to Buy Gameto in Deal Worth Up to $1.3825 Billion

Ferring Pharmaceuticals has signed an agreement to acquire Gameto in a transaction valued at up to $1.3825 billion, with the total value subject to development, regulatory and commercial milestones.

The companies announced the proposed acquisition October 27. Completion remains subject to customary and other closing conditions, and both companies will continue operating independently until the transaction closes.

The agreement would combine Gameto’s reproductive-health business and cell-engineering platform with Ferring’s international reproductive-medicine operations. Ferring has worked in fertility care for more than 50 years, according to its chairman and chief executive, Jean-Frédéric Paulsen.

Gameto’s In Vitro Maturation programme remains investigational in the United States and has not received approval from the U.S. Food and Drug Administration. The announcement did not indicate any change to that regulatory status.

Paulsen said the proposed combination would bring Gameto’s scientific work into Ferring’s reproductive-medicine platform, with the aim of advancing fertility treatment approaches and reaching patients internationally.

Dr. Dina Turner, Gameto’s chief executive and co-founder, said joining Ferring would connect her company’s cell-engineering platform with an established reproductive-medicine business. She identified developing fertility treatment options and expanding access as goals of the proposed combination.
