Formation Bio Launches $600 Million Drug Development Fund

Formation Bio has announced a debut fund with $600 million in capital commitments to finance the acquisition and development of clinical-stage medicines, supporting plans to add 10 to 15 drug programs over three to five years.

The Formation Bio Drug Development Accelerator Fund will finance programs exclusively within the company’s portfolio. Limited partners include research foundations, institutional endowments, hospitals and philanthropic organizations.

Formation Bio will serve as general partner through a wholly owned subsidiary and has committed capital alongside those investors.

Each funded drug program will sit in a separate corporate entity, keeping its financial arrangements distinct. The programs will share Formation Bio’s development organization, clinical infrastructure and artificial intelligence platform rather than maintaining separate operating teams.

The company acquires or licenses Phase 1 and Phase 2 assets from pharmaceutical and biotechnology companies. It prioritizes programs with a clear route to clinical proof of concept, focusing on diseases with substantial unmet need and limited industry development activity.

Formation Bio targets major clinical milestones within two to four years of acquiring a program, depending on its requirements. Capital allocation will follow individual development needs.

After achieving meaningful clinical progress, the company expects to seek pharmaceutical partners for commercialization or shared commercialization.

Chief Executive Benjamine Liu said the fund expands the number of drugs Formation Bio can pursue and provides financing flexibility. The structure also creates potential routes to liquidity without selling the parent company.
